GENERAL TERMS AND CONDITIONS
1.1 In these Conditions, the following definitions apply:
Business Day: a day (other than a Saturday, Sunday or public holiday) when banks in London are open for business.
Charges: the charges payable by the Customer for the supply of the Services in accordance with clause 5.
Conditions: these terms and conditions as amended from time to time in accordance with clause 14.9.
Contract: the contract between Datashredders and the Customer for the supply of Services in accordance with clause 2 as a result of the Customer placing an Order.
Customer: the person or firm who purchases Services from Datashredders.
Customer Default: has the meaning as described in clause 4.2.
Dispatch Confirmation: has the meaning as described in clause 2.13.
Force Majeure Event: has the meaning as described in clause 14.1(a).
Input Materials: those materials that require processing by the Customer, whether waste paper, IT equipment, cardboard or otherwise.
Intellectual Property Rights: all patents, rights to inventions, utility models, copyright and related rights, trade marks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.
Notice Period: if the Contract has a Term, the notice period shall be 3 months (unless varied by the Order.)
Order: the Customer’s order for the Services either via the Website (in accordance with clause 2.10) or the order form to which these Conditions are appended.
Renewal Term: a period of time equal to 12 months
Services: those services specified in the Order.
Start Date: means the commencement date of the Contract as specified in the Order (if any).
Term: means the period of time specified in the Order (if any).
Datashredders: Datashredders Limited registered c/o Streets Accountants, Enterprise House, 38 Tyndall Court, Commerce Road, Lynchwood, Peterborough PE2 6LR with registered number 5716583 and VAT Number 741 0093 71.
Datashredders Materials: means all materials, storage boxes, secure bins and other tangible property provided to the Customer free of charge in accordance with this Contract.
VAT: has the meaning as described in clause 5.2.
Website: the website www.datashredders.co.uk or such other website from which Datashredders may provide the Services from time to time.
1.2 In these Conditions, the following rules apply:
a) a “person” includes a natural person, corporate or unincorporated body (whether or not having separate legal personality);
b) a reference to a party includes its personal representatives, successors or permitted assigns;
c) a reference to a statute or statutory provision is a reference to such statute or statutory provision as amended or re-enacted. A reference to a statute or statutory provision includes any subordinate legislation made under that statute or statutory provision, as amended or re-enacted;
d) any phrase introduced by the terms “including”, “include”, “in particular” or any similar expression, shall be construed as illustrative and shall not limit the sense of the words preceding those terms;
e) a reference to “writing” or “written” includes emails (where the same are followed up with a letter) but does not include fax; and
f) a “business” means a Customer who purchases the Services in the course of its business, trade or profession. A “consumer” means a Customer who is not purchasing the Services in the course of his or her business, trade or profession.
2.1 These Conditions apply to all Customers that purchase Services. If the Customer is purchasing the Services as or on behalf of a business, it will be subject to those clauses that are identified as applying to business Customers. If the Customer is purchasing Services on behalf of a business (for example, it is a broker acting on behalf of a business), the Customer shall be liable for all acts and omissions of that business. If the Customer is purchasing the Services as a consumer, he or she will be subject to those clauses that are identified as applying only to consumers, but not those clauses that apply to business Customers. If a clause is not specified as applying to businesses or consumers, it shall apply to both businesses and consumers. For an explanation of the phrases “business” and “consumer”, see clause 1.2 (f).
2.2 Any quotation given by Datashredders shall not constitute an offer, and is only valid for a period of 1 calendar month from its date of issue.
2.3 The Order constitutes an offer by the Customer to purchase Services from Datashredders in accordance with these Conditions.
2.4 This clause 2.4 does not apply if the Customer is purchasing the Services via the Website. The Order shall only be deemed to be accepted when Datashredders issues written acceptance of the Order at which point and on which date the Contract shall come into existence. Where the Order specifies that the Contract has a Term, the Term shall start on the Start Date.
2.5 If the Customer is a business, this clause 2.5 shall apply. The Contract constitutes the entire agreement between the parties. The Customer acknowledges that it has not relied on any statement, promise or representation made or given by or on behalf of Datashredders which is not set out in the Contract.
2.6 If the Customer is a business, this clause 2.6 shall apply. The Customer cannot cancel an Order which has been accepted by Datashredders except with the agreement in writing of Datashredders and on terms that the Customer shall indemnify Datashredders in full against all losses (including loss of profit) costs (including the cost of all labour and materials used), damages, charges and expenses incurred by Datashredders as a result of cancellation.
2.7 The Customer must be at least 18 years old to order the Services and, if the Customer is a business, the person entering into this Contract warrants that they have the necessary authority to bind the Customer to this Contract.
2.8 Any descriptions or illustrations contained on the Website or in Datashredders’ catalogues or brochures are issued or published for the sole purpose of giving an approximate idea of the Services described in them. They shall not form part of the Contract or any other contract between Datashredders and the Customer for the supply of the Services.
Ordering services online
2.9 Clauses 2.10 to 2.16 only apply when the Customer is purchasing the Services via the Website.
2.10 The Customer may only submit an Order using the method set out on the Website.
2.11 The Website allows the Customer to check or amend any errors before submitting the Order. It is recommended that the Customer takes time to read and check the Order before submitting it to Datashredders.
2.12 Having submitted an Order, the Customer will receive an email from Datashredders acknowledging receipt of such Order. This does not mean that Datashredders has accepted the Order. Acceptance of the Order takes place in accordance with clause 2.13.
2.13 The Order shall only be deemed to be accepted when Datashredders sends an email to the Customer of such acceptance (the “Dispatch Confirmation”) and a Contract between Datashredders and the Customer will only be formed when Datashredders sends a Dispatch Confirmation. Unless specified otherwise in the Order, the date of the Contract shall be the Start Date.
2.14 It is recommended that the Customer prints a copy of these Conditions for future reference.
2.15 If Datashredders is unable to supply some or all of the Services because they are no longer available or because of an error in the price on the Website, Datashredders will inform the Customer of this by e-mail and will not process the Order. If the Customer has already paid for those Services which are unavailable, Datashredders will refund to the Customer an amount which is equal to the amount of the unavailable Services.
3.1 Datashredders shall supply the Services to the Customer on the terms set out in these Conditions. In the event of any conflict between the Order and these Conditions, these Conditions shall prevail.
3.2 Datashredders shall use commercially reasonable endeavours to meet any performance dates specified in the Order, but any such dates shall be estimates only and time shall not be of the essence for performance of the Services.
3.3 Datashredders shall have the right to make any changes to the Services which are necessary to comply with any applicable law or safety requirement, or which do not materially affect the nature or quality of the Services, and Datashredders shall notify the Customer in any such event.
3.4 Datashredders warrants to the Customer that the Services will be provided using reasonable care and skill and will comply with BS EN 15713:2009 (secure destruction of confidential material).
4.1 The Customer shall:
a) ensure that the terms of the Order and any information it provides to Datashredders are complete, up-to-date and accurate;
b) co-operate with Datashredders in all matters relating to the Services;
c) provide Datashredders, its employees, agents, suppliers, consultants or subcontractors, with access to the Customer’s premises, office accommodation and other facilities as reasonably required by Datashredders to deliver the Services;
d) provide Datashredders with such information and materials as Datashredders may reasonably require in order to supply the Services, and ensure that such information is accurate in all material respects; and
e) if Datashredders Materials are provided to the Customer, keep and maintain all Datashredders Materials at the Customer’s premises in safe custody at its own risk, ensure that the Datashredders Materials are maintained in a good condition until returned to Datashredders and not dispose of or use Datashredders Materials other than in accordance with Datashredders’ written instructions or authorisation. For the avoidance of doubt, all Datashredders Materials remain under the ownership of Datashredders; ownership shall not transfer to the Customer despite Datashredders Materials being left on the Customer’s premises. Datashredders is entitled to remove any and all of Datashredders Materials provided it gives reasonable notice to the Customer and causes as little inconvenience as possible and makes good, to the reasonable satisfaction of the Customer, any damage to the premises of the Customer.
4.2 If Datashredders’ performance of any of its obligations under the Contract is prevented or delayed by any act or omission by the Customer or failure by the Customer to perform any relevant obligation (“Customer Default”):
a) Datashredders shall without limiting its other rights or remedies have the right to suspend performance of the Services until the Customer remedies the Customer Default, and to rely on the Customer Default to relieve it from the performance of any of its obligations to the extent the Customer Default prevents or delays Datashredders’ performance of any of its obligations;
b) Datashredders shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from Datashredders’ failure or delay to perform any of its obligations as set out in this clause 4.2; and
c) if the Customer is a business, this sub-clause shall apply. The Customer shall reimburse Datashredders for any costs or losses sustained or incurred by Datashredders arising directly or indirectly from the Customer Default.
4.3 This clause 4.3 shall only apply to businesses. It is the Customer’s responsibility to ensure only the correct material is placed in the equipment provided for shredding, disposal and/or recycling services (including Datashredders Materials). In the event of contamination, material that cannot be recycled must be sorted. The Customer shall be liable for the cost of sorting and the shredding/recycling/disposal of this material at an approved rate. The Customer shall complete a waste transfer notice supplied by Datashredders when reasonably requested by Datashredders and the Customer shall pay any associated charges immediately.
4.4 The Customer warrants that the Input Materials shall not contain any material, equipment or otherwise which, in Datashredders’ opinion, is likely to cause contamination, fire, malfunctioning, destruction or any other kind of damage or danger in relation to any equipment belonging to Datashredders or any of Datashredders’ suppliers or subcontractors.
4.5 This clause 4.5 shall apply to businesses only. The Customer shall indemnify Datashredders against all liabilities, costs (including the costs of all labour and materials used), expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by Datashredders arising out of or in connection with a breach of the warranty in clause 4.4.
5.1 Any prices advertised on the Website may be subject to change.
5.2 Unless otherwise agreed in writing by Datashredders, the charges for the Services shall be as set out in the Order. The Charges do not include value added tax (“VAT”). The Customer shall pay to Datashredders such additional amounts in respect of VAT as are chargeable on the supply of the Services.
5.3 If the Customer is a business, this clause 5.3 shall apply. Datashredders may adjust or vary the Charges to cover any legislative, fuel, disposal cost increases or any other cost variables outside of the control of Datashredders. Any change in accordance with this clause shall be notified to the Customer as soon as reasonably possible.
5.4 If the Customer is purchasing the Services via the Website, payment shall be made via the payment section of the Website using Paypal or Worldpay.
5.5 If the Customer is purchasing the Services via a method other than the Website (e.g. by telephone or in person), Datashredders shall invoice the Customer on completion of the Services. The invoice must be paid by the Customer within one calendar month from the date of the invoice.
5.6 This clause shall apply if the Customer is a business. Without limiting any other right or remedy of Datashredders, if the Customer fails to make any payment due to Datashredders under the Contract by the due date for payment (“Due Date”), Datashredders shall have the right to charge interest on the overdue amount at the rate of 4 per cent per annum above the then current National Westminster Bank PLC base lending rate accruing on a daily basis from the Due Date until the date of actual payment of the overdue amount, whether before or after judgment, and compounding quarterly.
5.7 This clause shall apply if the Customer is a consumer. If the Customer fails to make any payment due to Datashredders under the Contract by the due date for payment (“Due Date”) and Datashredders have given reasonable notice to the Customer that payment is overdue, Datashredders can charge interest on the overdue amount at the rate of 2 per cent per annum above the then current National Westminster Bank PLC base lending rate accruing on a daily basis from the Due Date until the date of actual payment of the overdue amount, whether before or after judgment, and compounding quarterly.
5.8 This clause shall apply if the Customer is a business. The Customer shall pay all amounts due under the Contract in full without any deduction or withholding except as required by law and the Customer shall not be entitled to assert any credit, set-off or counterclaim against Datashredders in order to justify withholding payment of any such amount in whole or in part. Datashredders may, without limiting its other rights or remedies, set off any amount owing to it by the Customer against any amount payable by Datashredders to the Customer.
5.9 If Datashredders cannot gain access to the Customer’s premises, materials or equipment or Datashredders Materials as are necessary for the proper completion of the Services or is turned away from the Customer’s premises without being able to collect or take delivery of materials from the Customer as required for the proper completion of the Services, Datashredders shall be entitled to charge a further reasonable fee for abortive collection or delivery. This clause is subject to the Customer having the right to suspend collection or delivery having given Datashredders at least 3 Business Days’ notice along with reasons for such suspension.
6.1 This clause 6 only applies if the Customer is a consumer.
Right to cancel
6.2 The Customer has the right to cancel a Contract within 14 days without giving any reason. The cancellation period will expire from the day of the conclusion of the contract.
6.3 To exercise the right to cancel, the Customer must inform Datashredders using one of the following details:
or the Customer can use Datashredders’ model cancellation form which can be found at the end of these Conditions.
6.4 To meet the cancellation deadline, it is sufficient for the Customer to send his or her communication concerning the exercise of his or her right to cancel before the cancellation period has expired.
Effects of cancellation
6.5 If the Customer cancels a Contract, Datashredders will reimburse to the Customer all payments received from him or her including the costs of delivery (except for the supplementary costs arising if the Customer chose a type of delivery other than the least expensive type of standard delivery offered by Datashredders).
6.6 Datashredders will make the reimbursement using the same means of payment as the Customer used for the initial transaction unless the Customer has expressly agreed otherwise; in any event the Customer will not incur any fees as a result of the reimbursement.
6.7 If the Customer requested to begin the performance of the Services during the cancellation period, the Customer shall pay Datashredders an amount which is in proportion to what has been performed until the Customer has communicated to Datashredders his or her cancellation from the Contract, in comparison with the full coverage of the Contract.
7.1 All Intellectual Property Rights in or arising out of or in connection with the Services shall be owned by Datashredders.
7.2 The Customer acknowledges that, in respect of any third party Intellectual Property Rights, the Customer’s use of any such Intellectual Property Rights is conditional on Datashredders obtaining a written licence from the relevant licensor on such terms as will entitle Datashredders to license such rights to the Customer.
7.3 All Datashredders Materials are the exclusive property of Datashredders.
8.1 A party (“Receiving Party”) shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the Receiving Party by the other party (“Disclosing Party”), its employees, agents or subcontractors, and any other confidential information concerning the Disclosing Party’s business or its products or its services which the Receiving Party may obtain. The parties acknowledge that the Input Materials shall constitute confidential information. The Receiving Party shall restrict disclosure of such confidential information to such of its employees, agents or subcontractors as need to know it for the purpose of discharging the Receiving Party’s obligations under the Contract, and shall ensure that such employees, agents or subcontractors are subject to obligations of confidentiality corresponding to those which bind the Receiving Party. This clause 8 shall survive termination of the Contract.
8.2 Waste material destruction is subject to the Control of Pollution Act 1974. Datashredders is a registered waste carrier with the Environment Agency and may dispose of and process the Customer’s confidential material using any appropriate process available, provided that:
a) writing and data on the materials are destroyed as specified in BS EN 15714:2009;
b) the waste materials are recycled as much as possible; and
c) the agreed service level is maintained.
8.3 Datashredders shall, where processing personal data on behalf of the Customer, ensure that it complies with the Customer’s documented instructions regarding that personal data unless Datashredders is required to do otherwise by law. In this clause 8, “data subject”, “processor” “processing” and “personal data” shall have the meaning given to them in the Data Protection Act 1998 (until repealed) and the General Data Protection Regulation (Regulation (EU) 2016/679) (“GDPR”) or any equivalent provision which may replace the GDPR following the formal political separation of the United Kingdom of Great Britain and Northern Ireland from the European Union. The subject matter, duration, nature and purpose of processing, the type of personal data and the categories of data subjects are set out at the end of these Conditions after the Model Cancellation Form.
8.4 Datashredders shall, where processing personal data on behalf of the Customer:
9.1 This clause 9 shall apply if the Customer is a business.
9.2 Nothing in this clause 9 shall limit or exclude Datashredders’ liability for death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors or fraud or fraudulent misrepresentation, or breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982.
9.3 Subject to clause 9.2:
a) Datashredders shall not be liable to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, loss of revenue, loss of business or business opportunity, loss or damage to reputation, loss or corruption of data or for any indirect or consequential loss arising under or in connection with the Contract;
b) Datashredders’ total liability to the Customer in respect of losses arising under or in connection with:
(i) the provision of professional services in accordance with this Contract; and
(ii) Datashredders’ obligations in clauses 8.3 and 8.4
shall not exceed £500,000.00 in the aggregate;
10.1 This clause 10 shall apply if the Customer is a consumer.
10.2 Nothing in this clause 10 shall limit or exclude Datashredders’ liability for death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors or fraud or fraudulent misrepresentation.
10.3 Subject to clause 10.2, if Datashredders fails to comply with these Conditions, Datashredders is responsible for loss or damage the Customer suffers that is a foreseeable result of Datashredders’ breach of these Conditions or Datashredders’ negligence, but Datashredders is not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if they were an obvious consequence of Datashredders’ breach or if they were contemplated by the parties at the time the Contract was concluded.
10.4 Datashredders only supplies the Services for domestic and private use. The Customer agrees not to use the Services for any commercial, business or re-sale purposes, and (subject to clause 10.2) Datashredders has no liability to the Customer for any loss of profit, loss of business, business interruption, or loss of business opportunity.
11.1 If the Order specifies that the Contract is a one-off purchase, the Contract will cease (save for any clauses which survive termination or expiry) once the Services have been delivered. The Contract can be terminated at any time prior to the delivery of the Services in accordance with clause 11.3 or clause 11.4.
11.2 Where the Order specifies that the Contract has a Term then, unless terminated earlier in accordance with clause 11.3 or clause 11.4, the Contract shall continue until the end of the Term. At the end of the Term (and the end of each Renewal Term) the Contract will automatically continue for a further Renewal Term. The Contract can be terminated by one party serving written notice on the other party, such notice to expire on or before the end of the Term or the end of the Renewal Term (as the case may be) and the notice must be at least equal in duration to the Notice Period.
11.3 Without limiting its other rights or remedies, each party may terminate the Contract with immediate effect by giving written notice to the other party if:
a) the other party commits a material breach of the Contract and (if such a breach is remediable) fails to remedy that breach within seven Business Days of that party being notified in writing of the breach;
b) the other party suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits inability to pay its debts or (being a company) is deemed unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or (being an individual) is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the Insolvency Act 1986 or (being a partnership) has any partner to whom any of the foregoing apply;
c) the other party commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors;
d) a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of that other party (being a company) other than for the sole purpose of a scheme for a solvent amalgamation of that other party with one or more other companies or the solvent reconstruction of that other party;
e) the other party (being an individual) is the subject of a bankruptcy petition or order;
f) a creditor or encumbrancer of the other party attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days;
g) an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the other party (being a company);
h) a floating charge holder over the assets of that other party (being a company) has become entitled to appoint or has appointed an administrative receiver;
i) a person becomes entitled to appoint a receiver over the assets of the other party or a receiver is appointed over the assets of the other party;
j) any event occurs or proceeding is taken with respect to the other party in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in clause 11.3b) to clause 11.3i) (inclusive);
k) the other party suspends or ceases, or threatens to suspend or cease, to carry on all or a substantial part of its business; or
l) the other party (being an individual) dies or, by reason of illness or incapacity (whether mental or physical), is incapable of managing his own affairs or becomes a patient under any mental health legislation.
11.4 Without limiting its other rights or remedies, Datashredders may terminate the Contract with immediate effect by giving written notice to the Customer if the Customer fails to pay any amount due under this Contract on the due date for payment (or if the Customer is a consumer within 7 days of the due date for payment).
11.5 Without limiting its other rights or remedies, Datashredders shall have the right to suspend provision of the Services under the Contract or any other contract between the Customer and Datashredders if the Customer becomes subject to any of the events listed in clauses 11.3b) to clause 11.3l), or Datashredders reasonably believes that the Customer is about to become subject to any of them, or if the Customer fails to pay any amount due under this Contract on the due date for payment (or if the Customer is a consumer within 7 days of the due date for payment).
12.1 On termination of the Contract for any reason:
a) the Customer shall immediately pay to Datashredders all of Datashredders’ outstanding unpaid invoices and interest and, in respect of Services supplied but for which no invoice has been submitted, Datashredders shall submit an invoice, which shall be payable by the Customer immediately on receipt;
b) the Customer shall allow Datashredders or their servants or agents to recover from the Customer any Datashredders Materials which have been provided in accordance with this Contract. Until they have been recovered by Datashredders, the Customer shall be solely responsible for the safe keeping of Datashredders Materials and will not use them for any purpose;
c) the accrued rights, remedies, obligations and liabilities of the parties as at expiry or termination shall not be affected, including the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination or expiry; and
d) clauses which expressly or by implication have effect after termination shall continue in full force and effect.
13.1 Clauses 13.2 to 13.4 shall apply if the Customer is a business and clause 13.5 shall apply if the Customer is a consumer.
13.2 Where there is a dispute the aggrieved party (“Aggrieved Party”) shall notify the other party (“Responding Party”) in writing of the nature of the dispute with as much detail as possible about the issue causing the dispute. The Responding Party shall correspond with the Aggrieved Party within 5 Business Days of receipt of the written notification in order to reach an agreement about the nature of the deficiency and the corrective action to be taken. In the event that no agreement is reached on corrective action, then either party may seek the remedy as provided below.
13.3 If any dispute cannot be settled in accordance with clause 13.2, the parties will attempt to settle it by mediation in accordance with the Centre for Effective Dispute Resolution (“CEDR”) Model Mediation Procedure. Unless otherwise agreed between the parties, the mediator will be nominated by CEDR. To initiate the mediation a party must give notice in writing (“ADR notice“) to the other party to the dispute requesting a mediation. A copy of the request should be sent to CEDR. The mediation will start not later than 10 Business Days after the date of the ADR notice.
13.4 Nothing in this clause 13 shall limit the Consumer’s other legal rights to resolving a dispute.
13.5 Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. If you are not happy with how we have handled any complaint, you may want to contact the alternative dispute resolution provider we use. In addition, please note that disputes may be submitted for online resolution to the European Commission Online Dispute Resolution platform.
14.1 FORCE MAJEURE
a) For the purposes of this Contract, “Force Majeure Event” means an event beyond the reasonable control of either party including but not limited to strikes, lock-outs or other industrial disputes (whether involving the workforce of Datashredders or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of Datashredders or subcontractors.
b) Datashredders shall not be liable to the Customer as a result of any delay or failure to perform its obligations under this Contract as a result of a Force Majeure Event.
c) If the Force Majeure Event prevents Datashredders from performing its obligations in a Contract for more than 12 weeks, either party shall, without limiting its other rights or remedies, have the right to terminate the Contract immediately by giving written notice to the other party.
14.2 ASSIGNMENT AND SUBCONTRACTING
Either party may, subject to the prior written approval of the other party such consent not to be unreasonably withheld or delayed at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights under the Contract and may subcontract or delegate in any manner any or all of its obligations under the Contract to any third party or agent.
14.3 CONTACTING DATASHREDDERS
This clause 14.3 shall apply if the Customer is a consumer. If the Customer wishes to contact Datashredders in writing then it can do so by:
and if Datashredders has reason to contact the Customer or give him or her notice in writing, it can do so by email or by pre-paid post to the address details provided in the Order.
14.4 NOTICES TO BUSINESSES
a) This clause 14.4 shall apply if the Customer is a business. Any notice or other communication required to be given to a party under or in connection with this Contract shall be in writing and shall be delivered to the other party personally or sent by prepaid first-class post, recorded delivery or by commercial courier, at its registered office (if a company) or (in any other case) its principal place of business, sent by fax to the other party’s main fax number, or sent by email.
b) Any notice or other communication shall be deemed to have been duly received if delivered personally, when left at the address referred to above or, if sent by pre-paid first-class post or recorded delivery, at 9.00 am on the second Business Day after posting, or if delivered by commercial courier, on the date and at the time that the courier’s delivery receipt is signed, if sent by fax, on the next Business Day after transmission, or if sent by email, one Business Day after the email was sent.
c) This clause 14.4 shall not apply to the service of any proceedings or other documents in any legal action. For the purposes of this clause, “writing” shall include e-mails.
a) A waiver of any right under the Contract is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising any right or remedy under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor preclude or restrict its further exercise. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
b) Unless specifically provided otherwise, rights arising under the Contract are cumulative and do not exclude rights provided by law.
a) If a court or any other competent authority finds that any provision of the Contract (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Contract shall not be affected.
b) If any invalid, unenforceable or illegal provision of the Contract would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.
14.7 NO PARTNERSHIP, AGENCY, DISTRIBUTORSHIP OR FRANCHISE
Nothing in the Contract is intended to, or shall be deemed to, constitute a partnership or joint venture of any kind between any of the parties, nor constitute any agency relationship, distributorship agreement or franchise agreement. No party shall have authority to act as agent for, or to bind, the other party in any way.
14.8 THIRD PARTIES
A person who is not a party to the Contract shall not have any rights under or in connection with it.
